Instructions for Completing Certificate

Of Domestic Limited Partnership

Form LP-01

If additional space is necessary, attach extra sheets noting on each the appropriate section to which the information refers.

  1. Type or print the name and address of the person or firm to receive the acknowledgment of filing. Send an original executed document and one conformed copy to the Secretary of State, Corporations Division, 300 N. Salisbury St., Raleigh, North Carolina 27603-5909, with $50.00 filing fee.
  2. Enter the name exactly as it appears in the partnership agreement or in a previously filed amendment. The name must include, without abbreviation, the words "limited partnership." [N.C. Gen. Statute §59-103(a)].
  3. Complete this section if the domestic limited partnership was formed prior to October 1, 1986.
  4. Enter the name of the registered agent. If the registered agent is an individual, enter the first name, middle initial, and last name. If the registered agent is a domestic corporation or a foreign corporation authorized to do business in this state, enter the corporation name. The registration agent’s business address must be identical to the registered office [N.C. Gen. Statute §59-105].
  5. Enter the street address. Do not use a post office box number. Do not abbreviate the street, city, or county. Indicate the zip code. [N.C. Gen. Statute §59-201(a)].
  6. Enter the street address. This section need not be completed if the records pursuant to N.C. Gen. Statute §59-106(a) are kept at the registered office. Again, do not use a post office number. Do not abbreviate the street, city, or county. Indicate the zip code. [N.C. Gen. Statute §59-201 (a) (5)].
  7. A date must be entered [N.C. Gen. Statute §59-201(a) (3)].
  8. For each general partner enter the name (first, middle initial, last) and address (street and number, city, zip code and county. [N.C. Gen. Statute §59-201(a) (4)].
  9. Each general partner must sign the original certificate of limited partnership. Any person may sign a certificate as an attorney-in-fact [N.C. Gen. Statute §59-204]. Attach additional pages as needed.
